AMENDMENT TO SENATE BILL 46

2    AMENDMENT NO. ______. Amend Senate Bill 46 by replacing
3everything after the enacting clause with the following:
 
4    "Section 5. The University of Illinois Trustees Act is
5amended by changing Section 1 as follows:
 
6    (110 ILCS 310/1)  (from Ch. 144, par. 41)
7    Sec. 1. Membership.
8    (a) The Board of Trustees of the University of Illinois
9shall consist of the Governor and at least 12 trustees. Nine
10trustees shall be appointed by the Governor and the Board of
11Directors of the University of Illinois Alumni Association as
12provided under this subsection (a), by and with the advice and
13consent of the Senate. The other trustees shall be students, of
14whom one student shall be selected from each University campus.
15    Two of the successors to the 3 trustees appointed by the
16Governor whose terms expire in 2015 and their successors

1thereafter shall be appointed by the Board of Directors of the
2University of Illinois Alumni Association, and the other
3trustee and his or her successors thereafter shall be appointed
4by the Governor. Two of the successors to the 3 trustees
5appointed by the Governor whose terms expire in 2017 and their
6successors thereafter shall be appointed by the Board of
7Directors of the University of Illinois Alumni Association, and
8the other trustee and his or her successors thereafter shall be
9appointed by the Governor. One of the successors to the 3
10trustees appointed by the Governor whose terms expire in 2019
11and his or her successors thereafter shall be appointed by the
12Board of Directors of the University of Illinois Alumni
13Association, and the other 2 trustees and their successors
14thereafter shall be appointed by the Governor. Appointments by
15the Board of Directors of the University of Illinois Alumni
16Association shall be made in accordance with the association's
17bylaws, provided that (i) nominations from the general public
18must be considered, (ii) a nominee must not be rejected solely
19because he or she is not an alumnus of the University of
20Illinois, and (iii) a person must not be appointed as a trustee
21for more than 2 consecutive full terms.
22    (b) Each student trustee shall serve a term of one year,
23beginning on July 1 or on the date of his or her selection,
24whichever is later, and expiring on the next succeeding June
2530.
26    (c) Each trustee shall have all of the privileges of

1membership, except that only one student trustee shall have the
2right to cast a legally binding vote. The Governor shall
3designate which one of the student trustees shall possess, for
4his or her entire term, the right to cast a legally binding
5vote. Each student trustee who does not possess the right to
6cast a legally binding vote shall have the right to cast an
7advisory vote and the right to make and second motions and to
8attend executive sessions.
9    (d) Each trustee shall be governed by the same conflict of
10interest standards. Pursuant to those standards, it shall not
11be a conflict of interest for a student trustee to vote on
12matters pertaining to students generally, such as tuition and
13fees. However, it shall be a conflict of interest for a student
14trustee to vote on faculty member tenure or promotion.
15    (e) Student trustees shall be chosen by campus-wide student
16election, and the student trustee designated by the Governor to
17possess a legally binding vote shall be one of the students
18selected by this method. A student trustee who does not possess
19a legally binding vote on a measure at a meeting of the Board
20or any of its committees shall not be considered a trustee for
21the purpose of determining whether a quorum is present at the
22time that measure is voted upon. To be eligible for selection
23as a student trustee and to be eligible to remain as a voting
24or nonvoting student trustee, a student trustee must be a
25resident of this State, must have and maintain a grade point
26average that is equivalent to at least 2.5 on a 4.0 scale, and

1must be a full time student enrolled at all times during his or
2her term of office except for that part of the term which
3follows the completion of the last full regular semester of an
4academic year and precedes the first full regular semester of
5the succeeding academic year at the University (sometimes
6commonly referred to as the summer session or summer school).
7If a voting or nonvoting student trustee fails to continue to
8meet or maintain the residency, minimum grade point average, or
9enrollment requirement established by this Section, his or her
10membership on the Board shall be deemed to have terminated by
11operation of law.
12    If a voting student trustee resigns or otherwise ceases to
13serve on the Board, the Governor shall, within 30 days,
14designate one of the remaining student trustees to possess the
15right to cast a legally binding vote for the remainder of his
16or her term. If a nonvoting student trustee resigns or
17otherwise ceases to serve on the Board, the chief executive of
18the student government from that campus shall, within 30 days,
19select a new nonvoting student trustee to serve for the
20remainder of the term.
21    (f) No more than 5 of the 9 appointed trustees shall be
22affiliated with the same political party. Each trustee
23appointed by the Governor or the Board of Directors of the
24University of Illinois Alumni Association must be a resident of
25this State. A failure to meet or maintain this residency
26requirement constitutes a resignation from and creates a

1vacancy in the Board. The term of office of each appointed
2trustee shall be 6 years from the third Monday in January of
3each odd numbered year. The regular terms of office of the
4appointed trustees shall be staggered so that 3 terms expire in
5each odd-numbered year.
6    Vacancies for appointed trustees shall be filled for the
7unexpired term in the same manner as original appointments. If
8a vacancy in membership occurs at a time when the Senate is not
9in session, the Governor or the Board of Directors of the
10University of Illinois Alumni Association shall make temporary
11appointments until the next meeting of the Senate, when the
12Governor or the Board of Directors of the University of
13Illinois Alumni Association he shall appoint persons to fill
14such memberships for the remainder of their respective terms.
15If the Senate is not in session when appointments for a full
16term are made, appointments shall be made as in the case of
17vacancies.
18    No action of the board shall be invalidated by reason of
19any vacancies on the board, or by reason of any failure to
20select student trustees.

23    Section 99. Effective date. This Act takes effect January
2412, 2015.".
