| 7 | | to the membership in the financial statement that is part of |
| 8 | | the annual membership meeting materials. The disclosure shall |
| 9 | | contain: (i) the amount paid to each director and (ii) the |
| 10 | | amount paid to the directors as a group."; and

| 11 | | on page 13, by deleting lines 21 through 26.
