| 1 | | AN ACT concerning local government. |
| 2 | | Be it enacted by the People of the State of Illinois, |
| 3 | | represented in the General Assembly: |
| 4 | | Section 5. The America's Central Port District Act is |
| 5 | | amended by changing Sections 7.5, 15, 19, 21, and 25 as |
| 6 | | follows: |

| 8 | | Sec. 7.5. Authorization to borrow moneys. The District's |
| 9 | | Board may borrow money from any governmental agency, bank, or |
| 10 | | other financial institution and may provide appropriate |
| 11 | | security for that borrowing, if the money is repaid within 20 |
| 12 | | years after the money is borrowed. "Financial institution" has |
| 13 | | the meaning given in Section 8-1-3.1 of the Illinois Municipal |
| 14 | | Code means any bank subject to the Illinois Banking Act, any |
| 15 | | savings and loan association subject to the Illinois Savings |
| 16 | | and Loan Act of 1985, any savings bank subject to the Savings |
| 17 | | Bank Act, and any federally chartered commercial bank or |
| 18 | | savings and loan association organized and operated in this |
| 19 | | State pursuant to the laws of the United States. |

| 22 | | Sec. 15. The governing and administrative body of the Port |

| 1 | | District shall be a Board of Commissioners consisting of up to |
| 2 | | 9 members, to be known as the America's Central Port District |
| 3 | | Board. All members of the Board shall be residents of the |
| 4 | | District and shall be known as Commissioners of the America's |
| 5 | | Central Port District Board. The members of the Board shall |
| 6 | | serve without compensation but shall be reimbursed for actual |
| 7 | | expenses incurred by them in the performance of their duties. |
| 8 | | However, any Commissioner of the Board who is appointed to the |
| 9 | | office of secretary or treasurer may receive compensation for |
| 10 | | his services as such officer. No Commissioner of the Board or |
| 11 | | employee of the District shall have any private financial |
| 12 | | interest, profit or benefit in any contract, work or business |
| 13 | | of the District nor in the sale or lease of any property to or |
| 14 | | from the District, except to the extent allowed under "An Act |
| 15 | | to prevent fraudulent and corrupt practices in the making or |
| 16 | | accepting of official appointments and contracts by public |
| 17 | | officers", approved April 9, 1872, as now or hereafter |
| 18 | | amended. |

| 21 | | Sec. 19. Regular meetings of the Board shall be held at |
| 22 | | least once in each calendar month, the time and place of such |
| 23 | | meetings to be fixed by the Board. A majority of the appointed |
| 24 | | Five members of the Board shall constitute a quorum for the |
| 25 | | transaction of business. All action of the Board shall be by |

| 1 | | ordinance or resolution, and the affirmative vote of a |
| 2 | | majority of those members physically present at least 5 |
| 3 | | members shall be necessary for the adoption of any ordinance |
| 4 | | or resolution. All such ordinances and resolutions before |
| 5 | | taking effect shall be approved by the chairman of the Board, |
| 6 | | and if he approves thereof he shall sign the same, and such as |
| 7 | | he does not approve he shall return to the Board with his |
| 8 | | objections thereto in writing at the next regular meeting of |
| 9 | | the Board occurring after the passage thereof. But in the case |
| 10 | | the chairman fails to return any ordinance or resolution with |
| 11 | | his objections thereto by the time aforesaid, he shall be |
| 12 | | deemed to have approved the same and it shall take effect |
| 13 | | accordingly. Upon the return of any ordinance or resolution by |
| 14 | | the chairman with his objections, the vote by which the same |
| 15 | | was passed shall be reconsidered by the Board, and if upon such |
| 16 | | reconsideration said ordinance or resolution is passed by the |
| 17 | | affirmative vote of at least two-thirds of the 6 members, it |
| 18 | | shall go into effect notwithstanding the veto of the chairman. |
| 19 | | All ordinances, resolutions and all proceedings of the |
| 20 | | District and all documents and records in its possession shall |
| 21 | | be public records, and open to public inspection, except such |
| 22 | | documents and records as are kept or prepared by the Board for |
| 23 | | use in negotiations, legal actions or proceedings to which the |
| 24 | | District is a party. |

| 2 | | Sec. 21. All funds deposited by the treasurer in any bank |
| 3 | | or savings and loan association shall be placed in the name of |
| 4 | | the District and shall be withdrawn or paid out only by check |
| 5 | | or draft upon the bank or savings and loan association, signed |
| 6 | | by the treasurer and countersigned by the chairman of the |
| 7 | | Board, or by Automated Clearing House transaction or other |
| 8 | | electronic means. Subject to prior approval of such |
| 9 | | designations by a majority of the Board, the chairman may |
| 10 | | designate any other Board member or any officer of the |
| 11 | | District to affix the signature of the chairman and the |
| 12 | | treasurer may designate any other officer of the District to |
| 13 | | affix the signature of the treasurer to any check or draft for |
| 14 | | payment of salaries or wages and for payment of any other |
| 15 | | obligation of not more than $2,500.00. |
| 16 | | No bank or savings and loan association shall receive |
| 17 | | public funds as permitted by this Section, unless it has |
| 18 | | complied with the requirements established pursuant to the |
| 19 | | Public Funds Investment Act Section 6 of "An Act relating to |
| 20 | | certain investments of public funds by public agencies", |
| 21 | | approved July 23, 1943, as now or hereafter amended. |

| 24 | | Sec. 25. Within 9 months after 60 days after the end of |
| 25 | | each fiscal year, the Board shall cause an independent auditor |

| 1 | | to prepare and print to be prepared and printed a complete and |
| 2 | | detailed report and financial statement of the operations and |
| 3 | | assets and liabilities of the Port District. A reasonably |
| 4 | | sufficient number of copies of such report shall be printed |
| 5 | | for distribution to persons interested, upon request, and a |
| 6 | | copy of the report thereof shall be filed with the Governor and |
| 7 | | the county clerks and the presiding officers of the county |
| 8 | | boards of Madison and Jersey Counties. A copy of such report or |
| 9 | | a summary of the report shall be addressed and submitted to and |
| 10 | | mailed to the Mayor or ranking official and city council or |
| 11 | | president and board of trustees of each municipality within |
| 12 | | the area of the District. |
