| AMENDMENT NO. ______. Amend House Bill 1496, AS AMENDED, |

| with reference to page and line numbers of Senate Amendment No. |

| 2, on page 5, immediately below line 12, by inserting the |

| following:

| "(g) The State may cancel a Management and Concession |
| 7 |
| Agreement if the Concessionaire, or any executive employee |
| 8 |
| of the Concessionaire, is found guilty of any criminal |
| 9 |
| offense related to the conduct of its business or the |
| 10 |
| regulation thereof in any jurisdiction. An executive |
| 11 |
| employee shall be defined as the President, Chairman, Chief |
| 12 |
| Executive Officer, or other employee with executive |
| 13 |
| decision-making authority over the long-term and |
| 14 |
| day-to-day affairs of the Concessionaire, or an employee |
| 15 |
| whose compensation is determined directly, in whole or in |
| 16 |
| part, by the award of or payment pursuant to the Management |
| 17 |
| and Concession Agreement.".
