1 | | AN ACT concerning civil law.

2 | | Be it enacted by the People of the State of Illinois,
|
3 | | represented in the General Assembly:
|
4 | | Section 5. The Choice of Law and Forum Act is amended by |
5 | | changing Section 5-5 as follows:
|
6 | | (735 ILCS 105/5-5)
|
7 | | Sec. 5-5. Choice of law. The parties to any any contract, |
8 | | agreement, or
undertaking, contingent or otherwise, in |
9 | | consideration of or relating to any
obligation arising out of a |
10 | | transaction covering in the aggregate not less than
$250,000, |
11 | | including a transaction otherwise covered by subsection (1) of
|
12 | | Section
1-105 of the Uniform Commercial Code, may agree that |
13 | | the law of this State
shall
govern their rights and duties in |
14 | | whole or in part, whether or not the
contract, agreement, or |
15 | | undertaking bears a reasonable relation to this State.
This |
16 | | Section shall not apply to any contract, agreement, or |
17 | | undertaking (i) for
labor
or personal services, (ii) relating |
18 | | to any transaction for personal, family, or
household services, |
19 | | or (iii) to the extent provided to the contrary in
subsection
|
20 | | (2) of Section 1-105 of the Uniform Commercial Code. Nothing |
21 | | contained in this
Section shall be construed to limit or deny |
22 | | the enforcement of any provision
respecting choice of law in |
23 | | any other contract, agreement, or undertaking.
