| 2 | AMENDMENT NO. ______. Amend House Bill 2139 by replacing | ||||||
| 3 | everything after the enacting clause with the following: | ||||||
| 4 | "Section 5. The America's Central Port District Act is | ||||||
| 5 | amended by changing Sections 7.5, 15, 19, 21, and 25 as | ||||||
| 6 | follows: | ||||||
| 7 | (70 ILCS 1860/7.5) | ||||||
| 8 | Sec. 7.5. Authorization to borrow moneys. The District's | ||||||
| 9 | Board may borrow money from any governmental agency, bank, or | ||||||
| 10 | other financial institution and may provide appropriate | ||||||
| 11 | security for that borrowing, if the money is repaid within 20 | ||||||
| 12 | years after the money is borrowed. "Financial institution" has | ||||||
| 13 | the meaning given in Section 8-1-3.1 of the Illinois Municipal | ||||||
| 14 | Code means any bank subject to the Illinois Banking Act, any | ||||||
| 15 | savings and loan association subject to the Illinois Savings | ||||||
| 16 | and Loan Act of 1985, any savings bank subject to the Savings | ||||||

| 1 | Bank Act, and any federally chartered commercial bank or | ||||||
| 2 | savings and loan association organized and operated in this | ||||||
| 3 | State pursuant to the laws of the United States. | ||||||

| 6 | Sec. 15. The governing and administrative body of the Port | ||||||
| 7 | District shall be a Board of Commissioners consisting of up to | ||||||
| 8 | 9 members, to be known as the America's Central Port District | ||||||
| 9 | Board. All members of the Board shall be residents of the | ||||||
| 10 | District and shall be known as Commissioners of the America's | ||||||
| 11 | Central Port District Board. The members of the Board shall | ||||||
| 12 | serve without compensation but shall be reimbursed for actual | ||||||
| 13 | expenses incurred by them in the performance of their duties. | ||||||
| 14 | However, any Commissioner of the Board who is appointed to the | ||||||
| 15 | office of secretary or treasurer may receive compensation for | ||||||
| 16 | his services as such officer. No Commissioner of the Board or | ||||||
| 17 | employee of the District shall have any private financial | ||||||
| 18 | interest, profit or benefit in any contract, work or business | ||||||
| 19 | of the District nor in the sale or lease of any property to or | ||||||
| 20 | from the District, except to the extent allowed under "An Act | ||||||
| 21 | to prevent fraudulent and corrupt practices in the making or | ||||||
| 22 | accepting of official appointments and contracts by public | ||||||
| 23 | officers", approved April 9, 1872, as now or hereafter | ||||||
| 24 | amended. | ||||||

| 2 | Sec. 19. Regular meetings of the Board shall be held at | ||||||
| 3 | least once in each calendar month, the time and place of such | ||||||
| 4 | meetings to be fixed by the Board. A majority of the appointed | ||||||
| 5 | Five members of the Board shall constitute a quorum for the | ||||||
| 6 | transaction of business. All action of the Board shall be by | ||||||
| 7 | ordinance or resolution, and the affirmative vote of a | ||||||
| 8 | majority of those members physically present at least 5 | ||||||
| 9 | members shall be necessary for the adoption of any ordinance | ||||||
| 10 | or resolution. All such ordinances and resolutions before | ||||||
| 11 | taking effect shall be approved by the chairman of the Board, | ||||||
| 12 | and if he approves thereof he shall sign the same, and such as | ||||||
| 13 | he does not approve he shall return to the Board with his | ||||||
| 14 | objections thereto in writing at the next regular meeting of | ||||||
| 15 | the Board occurring after the passage thereof. But in the case | ||||||
| 16 | the chairman fails to return any ordinance or resolution with | ||||||
| 17 | his objections thereto by the time aforesaid, he shall be | ||||||
| 18 | deemed to have approved the same and it shall take effect | ||||||
| 19 | accordingly. Upon the return of any ordinance or resolution by | ||||||
| 20 | the chairman with his objections, the vote by which the same | ||||||
| 21 | was passed shall be reconsidered by the Board, and if upon such | ||||||
| 22 | reconsideration said ordinance or resolution is passed by the | ||||||
| 23 | affirmative vote of at least two-thirds of the 6 members, it | ||||||
| 24 | shall go into effect notwithstanding the veto of the chairman. | ||||||
| 25 | All ordinances, resolutions and all proceedings of the | ||||||

| 1 | District and all documents and records in its possession shall | ||||||
| 2 | be public records, and open to public inspection, except such | ||||||
| 3 | documents and records as are kept or prepared by the Board for | ||||||
| 4 | use in negotiations, legal actions or proceedings to which the | ||||||
| 5 | District is a party. | ||||||

| 8 | Sec. 21. All funds deposited by the treasurer in any bank | ||||||
| 9 | or savings and loan association shall be placed in the name of | ||||||
| 10 | the District and shall be withdrawn or paid out only by check | ||||||
| 11 | or draft upon the bank or savings and loan association, signed | ||||||
| 12 | by the treasurer and countersigned by the chairman of the | ||||||
| 13 | Board, or by Automated Clearing House transaction or other | ||||||
| 14 | electronic means. Subject to prior approval of such | ||||||
| 15 | designations by a majority of the Board, the chairman may | ||||||
| 16 | designate any other Board member or any officer of the | ||||||
| 17 | District to affix the signature of the chairman and the | ||||||
| 18 | treasurer may designate any other officer of the District to | ||||||
| 19 | affix the signature of the treasurer to any check or draft for | ||||||
| 20 | payment of salaries or wages and for payment of any other | ||||||
| 21 | obligation of not more than $2,500.00. | ||||||
| 22 | No bank or savings and loan association shall receive | ||||||
| 23 | public funds as permitted by this Section, unless it has | ||||||
| 24 | complied with the requirements established pursuant to the | ||||||
| 25 | Public Funds Investment Act Section 6 of "An Act relating to | ||||||

| 1 | certain investments of public funds by public agencies", | ||||||
| 2 | approved July 23, 1943, as now or hereafter amended. | ||||||

| 5 | Sec. 25. Within 9 months after 60 days after the end of | ||||||
| 6 | each fiscal year, the Board shall cause an independent auditor | ||||||
| 7 | to prepare and print to be prepared and printed a complete and | ||||||
| 8 | detailed report and financial statement of the operations and | ||||||
| 9 | assets and liabilities of the Port District. A reasonably | ||||||
| 10 | sufficient number of copies of such report shall be printed | ||||||
| 11 | for distribution to persons interested, upon request, and a | ||||||
| 12 | copy of the report thereof shall be filed with the Governor and | ||||||
| 13 | the county clerks and the presiding officers of the county | ||||||
| 14 | boards of Madison and Jersey Counties. A copy of such report or | ||||||
| 15 | a summary of the report shall be addressed and submitted to and | ||||||
| 16 | mailed to the Mayor or ranking official and city council or | ||||||
| 17 | president and board of trustees of each municipality within | ||||||
| 18 | the area of the District. | ||||||
