Sec. 10-25. Officers; meetings. Members of the Board shall elect
annually by secret ballot from their own
number a chairman who shall preside over meetings of the Board and a secretary.
Meetings of the Board shall be held at least once each quarter on the campus
of Eastern Illinois University at Charleston, Illinois. At all regular
meetings of the Board, a majority of its members shall constitute a quorum.
The student member shall have all of the privileges of membership, including
the right to make and second motions, to attend executive sessions, and to
vote on all Board matters except those involving faculty tenure, faculty
promotion or any issue on which the student member has a direct conflict of
interest. For the purposes of this Section, a student member shall not be deemed to have a direct conflict of interest in and may vote on any item involving the employment or compensation of the President of the University or the election of officers. Unless the student member is entitled to vote on a measure at a
meeting of the Board or any of its committees, he or she shall not be
considered a member for the purpose of determining whether a quorum is present
at the time that measure is voted upon. No action of the Board shall be
invalidated by reason of any vacancies on the Board or by reason of any failure
to select a student member.
Special meetings of the Board may be called by the chairman of the Board
or by any 3 members of the Board.
At each regular and special meeting that is open to the public, members of
the public and employees of the University shall be afforded time, subject to
reasonable constraints, to make comments to or ask questions of the Board.
