| 2 | | AMENDMENT NO. ______. Amend House Bill 4566 by replacing | 3 | | everything after the enacting clause with the following: | 4 | | "Section 1. Findings and purpose. The General Assembly | 5 | | finds that women, minorities, persons with disabilities, and | 6 | | members of the LGBTQ+ community are historically | 7 | | underrepresented in business organization and nonprofit | 8 | | organization leadership, both nationally and within the State | 9 | | of Illinois. Increasing diversity and inclusion at the highest | 10 | | levels of business organization and nonprofit organization | 11 | | leadership is in the best interests of the State and its | 12 | | growing economy. Whether through legislation, public policy, | 13 | | or public outreach, opportunities exist for expanding | 14 | | diversity and inclusion to support more women, minorities, | 15 | | persons with disabilities, and members of the LGBTQ+ community | 16 | | in business organization and nonprofit organization | 17 | | leadership. |

| 1 | | Section 5. The Business Corporation Act of 1983 is amended | 2 | | by adding Section 8.13 as follows: | 3 | | (805 ILCS 5/8.13 new) | 4 | | Sec. 8.13. Diversity and Inclusion in Business | 5 | | Organization and Nonprofit Organization Leadership Task Force. | 6 | | (a) The Diversity and Inclusion in Business Organization | 7 | | and Nonprofit Organization Leadership Task Force is created | 8 | | within the Office of the Secretary of State. The purpose of the | 9 | | Task Force is to identify ways to increase diversity in | 10 | | business organization and nonprofit organization leadership | 11 | | and to make recommendations to the Governor and General | 12 | | Assembly to achieve that goal. | 13 | | (b) The Task Force shall consist of the following members: | 14 | | (1) the Secretary of State or the Secretary's | 15 | | designee, who shall serve as the chairperson of the Task | 16 | | Force; | 17 | | (2) one member of the House of Representatives, | 18 | | appointed by the Speaker of the House of Representatives; | 19 | | (3) one member of the House of Representatives, | 20 | | appointed by the Minority Leader of the House of | 21 | | Representatives; | 22 | | (4) one member of the Senate, appointed by the | 23 | | President of the Senate; | 24 | | (5) one member of the Senate, appointed by the |

| 1 | | Minority Leader of the Senate; and | 2 | | (6) five members representing nonprofit organizations | 3 | | led by women, people with disabilities, minorities, or | 4 | | LGBTQ+ people or women-owned, person with | 5 | | disability-owned, minority-owned, or LGBTQ+-owned | 6 | | business organizations or State vendors, appointed by the | 7 | | Secretary of State. | 8 | | (c) The Task Force shall survey the underrepresentation of | 9 | | minorities, women, persons with disabilities, and members of | 10 | | the LGBTQ+ community in business organization and nonprofit | 11 | | organization leadership. The Task Force shall review the | 12 | | required business or nonprofit filings that require disclosure | 13 | | of a business organization's or nonprofit organization's | 14 | | demographic composition, the Business Enterprise Program, the | 15 | | Business Corporation Act of 1983, the Limited Liability | 16 | | Company Act, the General Not for Profit Corporation Act of | 17 | | 1986, other relevant business organization and nonprofit | 18 | | organization statutes, and the Illinois Procurement Code in an | 19 | | effort to identify areas for improvement that will result in | 20 | | increasing diversity and inclusion for minorities, women, | 21 | | persons with disabilities, and members of the LGBTQ+ community | 22 | | in business organization and nonprofit organization | 23 | | leadership. | 24 | | (d) The Task Force may request testimony from any person | 25 | | or entity that may assist in increasing the understanding of | 26 | | issues or providing solution-based ideologies that will |

| 1 | | improve representation and opportunities for minorities, | 2 | | women, persons with disabilities, and members of the LGBTQ+ | 3 | | community within business organization and nonprofit | 4 | | organization leadership and State procurement. | 5 | | (e) Members of the Task Force shall serve without | 6 | | compensation for the duration of the Task Force, but they may | 7 | | be reimbursed for reasonable travel expenses in compliance | 8 | | with the Secretary of State's travel rules required for | 9 | | attendance at meetings. | 10 | | (f) The Office of the Secretary of State shall provide | 11 | | administrative and other support to the Task Force. | 12 | | (g) As soon as practicable, but no later than October 1, | 13 | | 2024, all members of the Task Force shall be appointed. The | 14 | | Task Force shall meet quarterly in calendar year 2025. | 15 | | (h) The Task Force shall prepare a report that summarizes | 16 | | its work and makes recommendations resulting from its | 17 | | meetings. The Task Force shall submit the report of its | 18 | | findings and recommendations to the Governor and the General | 19 | | Assembly by January 1, 2026. | 20 | | (i) This Section is repealed, and the Task Force is | 21 | | dissolved, on January 1, 2027. | 22 | | Section 99. Effective date. This Act takes effect upon | 23 | | becoming law.". |
