AMENDMENT TO HOUSE BILL 4566

2    AMENDMENT NO. ______. Amend House Bill 4566 by replacing
3everything after the enacting clause with the following:
 
4    "Section 1. Findings and purpose. The General Assembly
5finds that women, minorities, persons with disabilities, and
6members of the LGBTQ+ community are historically
7underrepresented in business organization and nonprofit
8organization leadership, both nationally and within the State
9of Illinois. Increasing diversity and inclusion at the highest
10levels of business organization and nonprofit organization
11leadership is in the best interests of the State and its
12growing economy. Whether through legislation, public policy,
13or public outreach, opportunities exist for expanding
14diversity and inclusion to support more women, minorities,
15persons with disabilities, and members of the LGBTQ+ community
16in business organization and nonprofit organization
17leadership.

1    Section 5. The Business Corporation Act of 1983 is amended
2by adding Section 8.13 as follows:
 
3    (805 ILCS 5/8.13 new)
4    Sec. 8.13. Diversity and Inclusion in Business
5Organization and Nonprofit Organization Leadership Task Force.
6    (a) The Diversity and Inclusion in Business Organization
7and Nonprofit Organization Leadership Task Force is created
8within the Office of the Secretary of State. The purpose of the
9Task Force is to identify ways to increase diversity in
10business organization and nonprofit organization leadership
11and to make recommendations to the Governor and General
12Assembly to achieve that goal.
13    (b) The Task Force shall consist of the following members:
14        (1) the Secretary of State or the Secretary's
15    designee, who shall serve as the chairperson of the Task
16    Force;
17        (2) one member of the House of Representatives,
18    appointed by the Speaker of the House of Representatives;
19        (3) one member of the House of Representatives,
20    appointed by the Minority Leader of the House of
21    Representatives;
22        (4) one member of the Senate, appointed by the
23    President of the Senate;
24        (5) one member of the Senate, appointed by the

1    Minority Leader of the Senate; and
2        (6) five members representing nonprofit organizations
3    led by women, people with disabilities, minorities, or
4    LGBTQ+ people or women-owned, person with
5    disability-owned, minority-owned, or LGBTQ+-owned
6    business organizations or State vendors, appointed by the
7    Secretary of State.
8    (c) The Task Force shall survey the underrepresentation of
9minorities, women, persons with disabilities, and members of
10the LGBTQ+ community in business organization and nonprofit
11organization leadership. The Task Force shall review the
12required business or nonprofit filings that require disclosure
13of a business organization's or nonprofit organization's
14demographic composition, the Business Enterprise Program, the
15Business Corporation Act of 1983, the Limited Liability
16Company Act, the General Not for Profit Corporation Act of
171986, other relevant business organization and nonprofit
18organization statutes, and the Illinois Procurement Code in an
19effort to identify areas for improvement that will result in
20increasing diversity and inclusion for minorities, women,
21persons with disabilities, and members of the LGBTQ+ community
22in business organization and nonprofit organization
23leadership.
24    (d) The Task Force may request testimony from any person
25or entity that may assist in increasing the understanding of
26issues or providing solution-based ideologies that will

1improve representation and opportunities for minorities,
2women, persons with disabilities, and members of the LGBTQ+
3community within business organization and nonprofit
4organization leadership and State procurement.
5    (e) Members of the Task Force shall serve without
6compensation for the duration of the Task Force, but they may
7be reimbursed for reasonable travel expenses in compliance
8with the Secretary of State's travel rules required for
9attendance at meetings.
10    (f) The Office of the Secretary of State shall provide
11administrative and other support to the Task Force.
12    (g) As soon as practicable, but no later than October 1,
132024, all members of the Task Force shall be appointed. The
14Task Force shall meet quarterly in calendar year 2025.
15    (h) The Task Force shall prepare a report that summarizes
16its work and makes recommendations resulting from its
17meetings. The Task Force shall submit the report of its
18findings and recommendations to the Governor and the General
19Assembly by January 1, 2026.
20    (i) This Section is repealed, and the Task Force is
21dissolved, on January 1, 2027.
 
22    Section 99. Effective date. This Act takes effect upon
23becoming law.".
