1    AN ACT concerning business.
 
2    Be it enacted by the People of the State of Illinois,
3represented in the General Assembly:
 
4    Section 1. Findings and purpose. The General Assembly
5finds that women, minorities, persons with disabilities, and
6members of the LGBTQ+ community are historically
7underrepresented in business organization and nonprofit
8organization leadership, both nationally and within the State
9of Illinois. Increasing diversity and inclusion at the highest
10levels of business organization and nonprofit organization
11leadership is in the best interests of the State and its
12growing economy. Whether through legislation, public policy,
13or public outreach, opportunities exist for expanding
14diversity and inclusion to support more women, minorities,
15persons with disabilities, and members of the LGBTQ+ community
16in business organization and nonprofit organization
17leadership.
 
18    Section 5. The Business Corporation Act of 1983 is amended
19by adding Section 8.13 as follows:
 
20    (805 ILCS 5/8.13 new)
21    Sec. 8.13. Diversity and Inclusion in Business
22Organization and Nonprofit Organization Leadership Task Force.

1    (a) The Diversity and Inclusion in Business Organization
2and Nonprofit Organization Leadership Task Force is created
3within the Office of the Secretary of State. The purpose of the
4Task Force is to identify ways to increase diversity in
5business organization and nonprofit organization leadership
6and to make recommendations to the Governor and General
7Assembly to achieve that goal.
8    (b) The Task Force shall consist of the following members:
9        (1) the Secretary of State or the Secretary's
10    designee, who shall serve as the chairperson of the Task
11    Force;
12        (2) one member of the House of Representatives,
13    appointed by the Speaker of the House of Representatives;
14        (3) one member of the House of Representatives,
15    appointed by the Minority Leader of the House of
16    Representatives;
17        (4) one member of the Senate, appointed by the
18    President of the Senate;
19        (5) one member of the Senate, appointed by the
20    Minority Leader of the Senate; and
21        (6) five members representing nonprofit organizations
22    led by women, people with disabilities, minorities, or
23    LGBTQ+ people or women-owned, person with
24    disability-owned, minority-owned, or LGBTQ+-owned
25    business organizations or State vendors, appointed by the
26    Secretary of State.

1    (c) The Task Force shall survey the underrepresentation of
2minorities, women, persons with disabilities, and members of
3the LGBTQ+ community in business organization and nonprofit
4organization leadership. The Task Force shall review the
5required business or nonprofit filings that require disclosure
6of a business organization's or nonprofit organization's
7demographic composition, the Business Enterprise Program, the
8Business Corporation Act of 1983, the Limited Liability
9Company Act, the General Not for Profit Corporation Act of
101986, other relevant business organization and nonprofit
11organization statutes, and the Illinois Procurement Code in an
12effort to identify areas for improvement that will result in
13increasing diversity and inclusion for minorities, women,
14persons with disabilities, and members of the LGBTQ+ community
15in business organization and nonprofit organization
16leadership.
17    (d) The Task Force may request testimony from any person
18or entity that may assist in increasing the understanding of
19issues or providing solution-based ideologies that will
20improve representation and opportunities for minorities,
21women, persons with disabilities, and members of the LGBTQ+
22community within business organization and nonprofit
23organization leadership and State procurement.
24    (e) Members of the Task Force shall serve without
25compensation for the duration of the Task Force, but they may
26be reimbursed for reasonable travel expenses in compliance

1with the Secretary of State's travel rules required for
2attendance at meetings.
3    (f) The Office of the Secretary of State shall provide
4administrative and other support to the Task Force.
5    (g) As soon as practicable, but no later than October 1,
62024, all members of the Task Force shall be appointed. The
7Task Force shall meet quarterly in calendar year 2025.
8    (h) The Task Force shall prepare a report that summarizes
9its work and makes recommendations resulting from its
10meetings. The Task Force shall submit the report of its
11findings and recommendations to the Governor and the General
12Assembly by January 1, 2026.
13    (i) This Section is repealed, and the Task Force is
14dissolved, on January 1, 2027.
 
15    Section 99. Effective date. This Act takes effect upon
16becoming law.
